A person or persons who are in over-all control of the company, who are instrumental in the formulation of a plan pursuant to which the securities are offered to the public and those named in the prospectus as promoters. Promoter group includes promoter, an immediate relative and if the promoter is a company then any subsidiary or other company where the parent company holds more than 10% equity.
